Terms of Service

Applies to: LightleapAI™ web and mobile applications

IMPORTANT — PLEASE READ. These Terms of Service ("Terms") govern your access to and use of LightleapAI™, an AI-powered platform for higher education operated by N2N Services, Inc. ("N2N," "we," "us," or "our"). By accessing or using LightleapAI, you agree to be bound by these Terms and the Acceptable Use Policy embedded within them. If you do not agree, do not use the service.

Institutional Access. You are accessing LightleapAI because your college or university ("Institution") has entered into a Master Subscription Agreement ("MSA") with N2N. Your Institution is the contracting party; you are an authorized end user ("User") granted access under that agreement. These Terms describe your rights and responsibilities as a User. They do not replace or modify the MSA. In the event of any conflict between these Terms and the MSA, the MSA governs.

Part I — Terms of Service

1. About N2N Services and LightleapAI

N2N Services, Inc. is a Georgia SaaS company dedicated to helping higher education institutions prevent fraud, protect student funding, and streamline administrative services. LightleapAI is N2N's AI-powered platform, which may include the following modules as licensed by your Institution:

  • Orion — Fraud Intelligence (fraud detection, identity verification, behavioral analytics)
  • Prism — Document Intelligence (OCR, transcript and credential verification)
  • Polaris — Student Services Automation (appointment scheduling, service request routing)
  • Aether — Conversational OS (AI-powered chatbot and voice assistant for students and staff)
  • Atlas — Data Integration (connectors to SIS, LMS, ERP, and third-party systems)

The specific modules available to you depend on what your Institution has licensed. Contact your Institution's administrator if you are unsure which services are available.

2. Eligibility and Account Access

2.1 Age Requirement

18+ Only. You must be at least 18 years old to use LightleapAI. Persons under 18 do not have legal capacity to enter into a binding contract with N2N Services and may not use the platform. By using LightleapAI, you represent and warrant that you are at least 18 years of age. If N2N learns that a User is under 18, the account will be terminated and all associated data deleted.

2.2 Institutional Provisioning

LightleapAI does not offer direct sign-up or individual consumer accounts. Access is provisioned exclusively by your Institution through the MSA. You receive access through your Institution's identity provider, student information system, or another provisioning mechanism configured by your Institution's administrator.

You may not create, share, transfer, or sell access credentials. You are responsible for all activity that occurs under your assigned account. You must notify your Institution's IT or security team immediately if you believe your credentials have been compromised.

2.3 Accurate Information

You must provide accurate, truthful information when using LightleapAI. Providing false, misleading, or fraudulent information — including during identity verification — is a material violation of these Terms and may constitute fraud under applicable law.

2.4 Account Termination by Institution

Your Institution may revoke your access at any time consistent with the MSA. N2N may also suspend or terminate your access for violations of these Terms or the Acceptable Use Policy set forth in Part II.

3. The Services

3.1 License to Use

Subject to your compliance with these Terms and the AUP, and subject to your Institution's MSA with N2N, N2N grants you a limited, non-exclusive, non-transferable, revocable license to access and use LightleapAI solely for lawful institutional purposes authorized by your Institution.

3.2 Inputs and Outputs

You may submit text, documents, files, and other content to LightleapAI ("Inputs"). LightleapAI will generate responses, analysis, scores, or other results ("Outputs"). You are responsible for all Inputs you submit.

You retain ownership of your Inputs. N2N acquires no proprietary interest in your personal data or institutional data by processing it through LightleapAI. Data ownership and handling obligations are governed by the MSA, Data Sharing Agreement, and our Privacy Policy.

3.3 AI Outputs Are Not Decisions

Important: LightleapAI's AI-generated Outputs — including fraud risk scores, identity verification results, and behavioral analytics — are probabilistic indicators, not determinations. They are not intended to serve as the sole basis for any adverse action affecting a student, including denial of enrollment, financial aid, or services. Your Institution is responsible for maintaining human review processes consistent with FERPA, applicable civil rights laws (Title VI, Title IX, Section 504, ADA), and any applicable state or federal AI governance requirements.

You acknowledge and agree:

  1. Outputs may not be accurate and may contain errors even when they appear specific or detailed.
  2. Outputs should not be relied upon without independent verification.
  3. LightleapAI is a tool to support human review, not to replace it.
  4. AI technologies continue to evolve; N2N does not warrant perfection of any Output.

3.4 No Use of Content to Train External Models

N2N will not use your Inputs or Outputs, or your Institution's data, to train, fine-tune, or benchmark AI models for any other customer or institution. N2N may improve model performance within your Institution's specific instance only, as described in the MSA. See our Privacy Policy for details.

3.5 No Payment Collection

LightleapAI does not collect payment card information or process financial transactions directly from Users. All subscription billing is handled between N2N and your Institution under the MSA.

4. Intellectual Property

N2N retains all rights, title, and interest in LightleapAI, including its software modules, algorithms, AI models, user interface, documentation, and all related intellectual property. Nothing in these Terms transfers any N2N intellectual property to you.

You may not reverse-engineer, decompile, disassemble, copy, modify, distribute, or create derivative works of LightleapAI or any component thereof. You may not scrape, harvest, or extract data or content from LightleapAI by automated means.

"LightleapAI™" and associated product names and logos are trademarks of N2N Services, Inc. Nothing in these Terms grants you any right to use N2N's trademarks.

5. Privacy and Data

Your use of LightleapAI is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what personal data we collect, how we use it, and your rights with respect to it.

LightleapAI governs the flow of institutional and personal data to AI systems through the Integrated Context Control Protocol (ICCP). Under ICCP, AI systems receive only the data necessary for a specific, authorized request. For the full specification, visit lightleapai.com/iccp.

When your Institution has executed a Data Sharing Agreement with N2N, that agreement governs the use and protection of student education records and personally identifiable information processed on your Institution's behalf.

6. Security

You are responsible for maintaining the security of your access credentials. You must not:

  • Share your credentials with any other person.
  • Attempt to access accounts, systems, or data that you are not authorized to access.
  • Probe, scan, or test the vulnerability of LightleapAI or any related system.
  • Introduce malware, viruses, or malicious code of any kind.

If you become aware of any actual or suspected security incident involving LightleapAI or your account, notify your Institution's IT security team immediately and contact security@n2nservices.com.

7. Disclaimers of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIGHTLEAPAI IS PROVIDED "AS IS." N2N MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

N2N DOES NOT WARRANT THAT LIGHTLEAPAI WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR USE. AI-GENERATED FRAUD SCORES, IDENTITY VERIFICATION RESULTS, AND BEHAVIORAL ANALYTICS ARE PROBABILISTIC INDICATORS ONLY.

N2N WARRANTS TO YOUR INSTITUTION (UNDER THE MSA) THAT THE SOFTWARE WILL PERFORM SUBSTANTIALLY IN ACCORDANCE WITH CURRENT DOCUMENTATION AND IS DESIGNED FOR COMPLIANT USE UNDER FERPA AND THE GLBA SAFEGUARDS RULE. THOSE WARRANTIES RUN TO YOUR INSTITUTION, NOT TO YOU AS AN INDIVIDUAL USER.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, N2N AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF LIGHTLEAPAI, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR REPUTATIONAL HARM, EVEN IF N2N HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

N2N'S TOTAL CUMULATIVE LIABILITY TO YOU AS AN INDIVIDUAL USER SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS LIMITATION DOES NOT AFFECT N2N'S LIABILITY TO YOUR INSTITUTION UNDER THE MSA, WHICH IS GOVERNED BY THE TERMS OF THAT AGREEMENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF CERTAIN LIABILITIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Indemnification

You agree to defend, indemnify, and hold harmless N2N Services, Inc. and its officers, employees, and agents from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising out of: (i) your breach of these Terms or the AUP; (ii) your use of LightleapAI in violation of applicable law; or (iii) any false or fraudulent information you provide through LightleapAI.

10. Suspension and Termination

N2N may suspend or terminate your access to LightleapAI at any time, with or without notice, if:

  • You violate these Terms or the Acceptable Use Policy.
  • Your Institution's MSA is terminated or lapses.
  • Your Institution directs N2N to revoke your access.
  • Your access poses a security or legal risk, in N2N's reasonable judgment.

Upon termination, your license to use LightleapAI immediately ends. Your Institution retains all data rights under the MSA and DSA.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to conflicts of law principles. Any dispute between you and N2N arising from these Terms shall be resolved in the courts of Gwinnett County, Georgia, or the United States District Court for the Northern District of Georgia.

Note: Disputes between N2N and your Institution are governed by the MSA, which specifies governing law and venue per the executed agreement.

12. Changes to These Terms

N2N may update these Terms from time to time. Material changes will be communicated by updating the Effective Date above and, where appropriate, by notice through LightleapAI or to your Institution. Continued use of LightleapAI after the effective date of an update constitutes your acceptance of the revised Terms. If you do not agree with updated Terms, you must cease using LightleapAI and notify your Institution.

13. General Provisions

Entire Agreement with You. These Terms, together with the Privacy Policy and AUP embedded herein, constitute the entire agreement between you and N2N regarding your individual use of LightleapAI. They do not modify the MSA between N2N and your Institution.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

No Waiver. Failure by N2N to enforce any provision of these Terms shall not constitute a waiver of the right to enforce it in the future.

Independent Contractor. Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship between you and N2N.

Contact. For questions about these Terms: legal@n2nservices.com.
